John Matheson

Visiting Professor of Law

Professor Matheson teaches international business transactions.

Professional Experience

Matheson joined the University of Minnesota faculty in 1982. He serves as director of the law school's Corporate Institute. Matheson is a practicing attorney, serving Of Counsel to Kaplan, Strangis and Kaplan, P.A., in the areas of corporate governance counseling, fiduciary duties, mergers and acquisitions, and securities law matters.

Honors and Affiliations

Matheson graduated cum laude from Northwestern University, where he was editor-in-chief of the Northwestern University Law Review. In 2008, he received the Award for Outstanding Contributions to Post-baccalaureate, Graduate and Professional Education from the University of Minnesota and was inducted into the institution's Academy of Distinguished Teachers. On five occasions, he has been the recipient of the law school's annual Professor of the Year Award for Excellence in Teaching and Counseling. He is a member of the American Law Institute.

Matheson's publications include Corporation Law and Practice, 2nd Ed. (with Garon) (Thomson/West, 2004); "Why Courts Pierce: An Empirical Study of Piercing the Corporate Veil” in 7 Berkeley Business Law Journal 1 (2010); and "The Modern Law of Corporate Groups: An Empirical Study of Piercing the Corporate Veil in the Parent-Subsidiary Context" in 87 North Carolina Law Review 1091 (2009).
