During this seminar, you will explore the intersection of two of the most pressing business issues of the last decade: corporate governance and international business. Corporate scandals in the US (such as Enron and Worldcom) and abroad (such as Satyam Computers and Olympus Corporation) have drawn attention to the importance of strong governance practices, including an effective board of directors, rigorous internal controls, appropriate compensation practices, etc. However, one-size does not fit all, and various factors such as culture, politics, history and legal framework guide the governance practices in companies around the world. Seminar participants will compare and contrast the various governance models in place around the world, discuss and debate specific practices, and explore the link between governance and firm performance.
Annalisa Barrett, MBA, is a full-time Lecturer in the Finance Department at the University of San Diego’s School of Business Administration. She teaches graduate courses in Corporate Governance and undergraduate courses in Financial Management, Financial Statement Analysis and Personal Finance. Previously, Ms. Barrett was Vice President and Senior Research Associate with The Corporate Library. She led the firm’s research related to board and governance practices. She was the main author of the annual Governance Practices report published by The Corporate Library, as well as other reports on board compensation and composition. In 2008, Ms. Barrett was named as a Millstein Rising Star in Corporate Governance. Ms. Barrett has an MBA, with distinction, from the University of Michigan Business School. She is a member of Board of Directors of the Corporate Directors Forum, where she serves on the Education Committee. She is also a member of the Board of Directors for Volunteers of America Southwest where she chairs the Governance and Board Development Committee.
